GENERAL TERMS AND CONDITIONS OF SALE [Géode-Concept SRL / Website www.vwx-plants.com] – February 2026 Version

Article 1 – Definitions

• Seller: Géode-Concept SRL, with registered office at B-6990 Hotton - Rue de la Chapelle, 47, registered with the Crossroads Bank for Enterprises (BCE) under company number [BE 0838 443 056], VAT number BE 0838 443 056, represented by Nicolas Jacqmin.

• Customer: Any natural or legal person placing an order on the Site.

• Consumer: A natural person acting for purposes which are outside the scope of his or her commercial, industrial, craft, liberal, or agricultural activity (Art. I.1, 2° of the Code of Economic Law).

• Professional: Any natural or legal person acting within the scope of their professional activity.

• Site: The website accessible at the address www.vwx-plants.com.

• Product(s): CAD/BIM digital content (symbols, blocks, Vectorworks families, Revit, BIM objects, .dwg, .rfa, .ifc, .step files, etc.).

• Digital Content: Downloadable file(s) provided without a physical medium.

Article 2 – Scope of Application

These General Terms and Conditions (GTC) apply to all sales concluded via the Site, whether the Customer is a Consumer or a Professional. They prevail over any general purchasing conditions of the Customer. Placing an order implies full and unreserved acceptance of these GTC.

Article 3 – Products

The essential characteristics of the Products (format, software compatibility, number of objects, etc.) are described on the product sheet. Illustrations are provided for indicative purposes only.

Article 4 – Ordering

Orders are placed through the following steps: Product selection → Cart → Identification → Choice of payment → Acceptance of GTC (mandatory checkbox) → Validation and payment. The sale is concluded upon full receipt of the price. A confirmation email is sent, followed by an email containing the download link.

Article 5 – Price and Payment

Prices are indicated:

• In Euros (incl. VAT) for Consumers;

• In Euros (excl. VAT) (applicable VAT added) for Professionals. Payment is made securely via [Stripe / PayPal / Mollie / etc.]. The order is firm and final upon receipt of payment.

Article 6 – Provision of Digital Content

Products are made available immediately after payment via a secure download link sent by email and/or accessible in the customer area. The link is valid for 60 days from the date of sending. After this period, the Customer may request a new link, subject to technical possibility. The Customer is solely responsible for backing up the downloaded files.

Article 7 – Right of Withdrawal (Consumers only)

In accordance with Article VI.53, 13° of the Code of Economic Law, the 14-day right of withdrawal does not apply to the supply of digital content not provided on a physical medium where performance has begun with the Consumer's prior express consent and the Consumer has expressly waived their right of withdrawal.

Article 8 – License of Use

The Seller grants a non-exclusive, personal, non-assignable, and non-transferable license to use the Products worldwide for the legal duration of the copyright.

Authorized:

• Using the Products in your own professional or personal projects.

• Integrating them into final works (plans, renderings, projects, etc.).

Strictly Prohibited:

• Reselling, renting, lending, sharing, or distributing the files (even for free).

• Integrating them into a competing or public library.

• Using them to train or feed an artificial intelligence model, a generative algorithm, or any machine learning system.

• Transforming them into NFTs, tokens, digital assets, or any product intended for resale.

• Removing copyright notices or metadata.

Any violation results in the automatic termination of the license without refund and may lead to legal action.

Article 9 – Legal Warranties

• For Consumers: Legal warranty of conformity (Art. VI.17 et seq. of the Code of Economic Law) and warranty against hidden defects (Art. 1641 et seq. of the Civil Code).

• The Seller does not grant any additional commercial warranty ("satisfaction guaranteed"). In case of manifest non-conformity, the Customer must contact the Seller promptly. The Seller will offer, at its discretion, a replacement or a refund.

Article 10 – Liability

The Seller's liability is limited to the amount (excl. VAT) of the Product concerned. Liability is excluded for indirect damages (loss of data, loss of profit, etc.).

Article 11 – Intellectual Property

The Products remain the exclusive intellectual property of the Seller. Only the license described in Article 8 is granted.

Article 12 – Personal Data

Data processing complies with the GDPR. See the Privacy Policy on the Site.

Article 13 – Applicable Law and Disputes

These GTC are governed by Belgian law. In the event of a dispute, the parties will first attempt an amicable resolution. Failing this, and subject to mandatory provisions protecting consumers (who may bring the matter before the court of their domicile), the courts of B-6990 Marche-en-Famenne shall have exclusive jurisdiction.
